Club By-laws

This document shall serve as the by-laws of the Dirt Nerds & Radios Radio Club organization as established by the Club Constitution.

Article I: Name

The name of this organization shall be the “Dirt Nerds & Radios Radio Club,” hereinafter referred to as the “Club.”

Article II: Nature and Purpose

The Club is established as a community-oriented entity dedicated to fostering the exploration and advancement of amateur radio activities. Its objectives include:

Section 1: Amateur Radio Activities

Engaging in amateur radio pursuits in accordance with FCC Part 97 Rules and Regulations, promoting the evolution of radio technology, and encouraging scientific exploration within the amateur radio community.

Section 2: Education and Knowledge:

Enhancing interest, knowledge, and participation in amateur radio communication and related technologies among members.

Section 3: Integration in Outdoor Pursuits

Facilitating the incorporation of amateur radio technology in outdoor activities, promoting safety and communication capabilities during such endeavors.

Section 4: Exchange of Information

Providing a collaborative platform for members to exchange experiences, information, and innovative ideas related to amateur radio.

Section 5: Education Support

Supporting educational initiatives, training programs, and activities focused on advancing amateur radio operations and technology.

Article III: Membership

Section 1: Eligibility

Membership shall be open to any individual interested in amateur radio, regardless of race, gender, nationality, religion, or disability.

Section 2: Categories of Membership

The Club shall consist of the following membership categories:

  • Full Members: Individuals actively involved in the Club’s amateur radio operations, and that pay annual membership dues.
  • Associate Members: Individuals interested in supporting the Club’s and/or objectives but not actively engaged in amateur radio operations.

Section 3: Rights and Responsibilities

All members shall have the right to:

  • Participate in Club meetings, events, and activities.
  • Vote in Club elections and on matters requiring membership approval.
  • Receive communications and benefits as determined by the Club.

Members are expected to uphold the Club’s objectives, abide by its by-laws, and conduct themselves in a manner that reflects positively on the Club.

Section 4: Membership Dues

Membership dues for the Club shall be collected during the annual club election and determined by the Club’s treasurer for the previous year. Any changes shall be announced through the Club’s regular communication channels prior to this meeting. All Membership dues for the club shall be included on any membership applications, and pro-rated at monthly intervals.

Article IV: Club Meetings

Section 1: Regular Meetings

Regular meetings of the Club shall be held as determined by the officers, to discuss Club business, organize events, and facilitate member interaction. All regular meetings shall be announced to the club in due time prior to the meeting being called to order.

Section 2: Special Meetings

Special meetings may be called by the President or by a majority of the officers or members. Where possible, these meetings shall be announced to the club in due time prior to the meeting being called to order.

Article V: Governance

Section 1: Officers

The officers of the Club shall consist of:

  • President
  • Vice President
  • Secretary
  • Treasurer

Section 2: Election and Term

Officers shall be elected by a majority vote of the members on the first Saturday in December every year and shall serve a one-year term.

Section 3: Duties

  • The President shall preside over meetings, represent the Club, and oversee its activities.
  • The Vice President shall assist the President and fulfill their duties in their absence.
  • The Secretary shall maintain records of meetings, handle correspondence, and keep membership records.
  • The Treasurer shall manage the Club’s finances, maintain financial records, and provide reports as required.

Article VI: Amendment

Section 1: Amendment Proposal

Any member of the Club may propose an amendment to the club charter or by-laws by submitting a written proposal to the Club Secretary. The proposal should clearly state the proposed amendment and the rationale behind it.

The Secretary shall present the proposed amendment to the club officers for review and consideration during the next scheduled officers’ meeting following its submission.

Section 2: Officer Review and Approval

Upon receiving the proposed amendment, the club officers shall examine and deliberate on the proposed change during the officers’ meeting. The officers may suggest modifications or refinements or seek member feedback on the proposal.

A majority vote by the officers shall be required to approve the proposed amendment.

Section 3: Membership Notification

With approval by the officers, the proposed amendment shall be disseminated to all club members through official club communication channels.

The notification to members shall include the details of the proposed amendment, and the date and time of any meeting(s) scheduled to discuss the amendment.

Section 4: Implementation

Upon successful approval of the amendment by the membership, the Secretary shall update the club charter accordingly to reflect the approved change.

The amended club charter shall supersede the previous version and become effective immediately upon completion of the updating process.

Section 5: Record-Keeping

The club Secretary shall maintain an updated copy of the club charter, including all approved amendments, and make it accessible to all members upon request.

Detailed records of the amendment proposal, discussions, and voting results shall be documented and kept as part of the club’s official records.

Article VII: Dissolution

In the event of dissolution, the Club’s remaining assets shall be distributed to organization(s) aligned with similar objectives, as determined by the officers at the time of dissolution.

Article VIII: Adoption

This initial by-laws document was adopted upon approval by a majority vote of the members present at a regular meeting on December 9th, 2023.
